1. Agreement to Terms and Compliance

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Tophits Africa Media (“Tophits Africa,” “we,” “us,” or “our”), concerning your access to and use of the www.tophits.africa website and related services (collectively, the “Site”).

You acknowledge and agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. You further acknowledge and accept that all services provided through this Site operate under the regulatory framework of the United Republic of Tanzania, including but not limited to the Electronic and Postal Communications Act [CAP 386] and the Electronic and Postal Communications (Online Content) Regulations, 2020.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Intellectual Property Rights (Simplified)

The materials on the Site, including all source code, software, design elements, databases, and our company logo (collectively, the “Site IP”), are our proprietary property and are protected by copyright and trademark laws.

Regarding the music, songs, audio, and videos available on the platform (the “Content”), we do not claim to be the original copyright owner. You acknowledge that all ownership, trademarks, and copyrights of the Content belong to the respective artists, producers, and copyright holders.

We provide the Content to you under license. All Content is protected under the Copyright and Neighbouring Rights Act, Cap 218 R.E 2002 of Tanzania.

The Site IP and the Content are provided to you “AS IS” for your personal, non-commercial use only. You are strictly prohibited from copying, reproducing, aggregating, distributing, selling, or exploiting any Content for any commercial purpose without the express written permission of the respective copyright holder and, where required,Tophits Africa.

3. User Representations

By using the Site, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete.
  • You have the legal capacity and agree to comply with these Terms of Use.
  • You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise.
  • Your use of the Site will not violate any applicable law or regulation in Tanzania.
  • You are 18 years of age or older, or have the permission of a parent or guardian.

4. User Conduct and Prohibited Content

You may not access or use the Site for any purpose other than that for which we make the Site available.

As a user of the Site, you agree not to:

  • Systematically retrieve data or other content from the Site to create a database or directory without our written permission.
  • Make any unauthorized use of the Site, including collecting usernames and/or email addresses for the purpose of sending unsolicited email.
  • Attempt to circumvent or disable any music download or streaming security features embedded within the Content provided on the Site.
  • Harass, annoy, intimidate, or threaten any of our employees or agents.
  • Upload, post, transmit, or share any material considered ‘Prohibited Content’ under the laws of the United Republic of Tanzania, including but not limited to:
    • Content that contravenes the provisions of any written law.
    • Content that is likely to threaten the stability of the United Republic, its safety, unity, or security.
    • **Hate speech**, which includes any portrayal that denigrates, defames, or otherwise devalues a person or group on the basis of race, ethnicity, religion, or disability.
    • **Indecent material**, which is offensive, morally improper, and against current standards of accepted behavior.
    • Content that publishes information, news, statements, or rumors for the purpose of ridicule or abuse, or harming the reputation, prestige, or status of the United Republic or its symbols.
    • Any unethical, fabricated, or **Artificial Intelligence (AI) generated content**, including video clips, audio, and still pictures, intended to mislead or harm.
  • **Immediately remove any content posted by you upon being ordered to do so by Tophits Africa or the Tanzania Communications Regulatory Authority (TCRA).**

5. Streaming and Download License

Tophits Africa provides users with access to musical content (songs, audio, and videos) under the following specific conditions:

  • Streaming License: We grant you a limited, non-exclusive, non-transferable, revocable license to stream the Content for your personal, non-commercial entertainment use.
  • Download License: Where download links are explicitly provided, we grant you a limited, non-exclusive, non-transferable, revocable license to download a single copy of the Content solely for your personal, non-commercial use.
  • NO TRANSFER OF RIGHTS: This license does not constitute a sale or transfer of any intellectual property rights. You acknowledge that all copyrights, trademarks, and ownership of the Content remain with the original artist or copyright holder, and not withTophits Africa.

6. Site Management and Content Removal

We reserve the right, but not the obligation, to:

  • Monitor the Site for violations of these Terms of Use.
  • Take appropriate legal action against anyone who violates the law or these Terms of Use.
  • Refuse, restrict, or disable access to any content or contribution at our sole discretion.
  • Immediately remove or disable access to any content found to be ‘Prohibited Content’ or in violation of Tanzanian law or these Terms, particularly upon notification from the TCRA or any copyright holder.

7. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Site. We cannot guarantee the Site will be available at all times due to necessary maintenance or technical issues.

8. Governing Law and Dispute Resolution

These Terms and your use of the Site are governed by and construed in accordance with the laws of the United Republic of Tanzania. Any legal dispute arising hereunder shall be subject to the exclusive jurisdiction of the courts of Tanzania.
